Terms of Service

Effective Date: April 4, 2026

This English version is provided for reference. In case of any discrepancy between the Korean and English versions, the Korean version shall prevail.

Article 1 (Purpose)

These Terms of Service set forth the conditions and procedures for using the Yoga ON service (the "Service") operated by HEY JAMES Inc. (the "Company"), as well as the rights, obligations, and responsibilities between the Company and its members.

Article 2 (Definitions)

  1. "Company" refers to HEY JAMES Inc. (Business Registration No. 362-81-00644).
  2. "Service" refers to the Yoga ON platform (yoga.heyjames.ai), an online yoga class search, booking, and payment platform.
  3. "Member" refers to any person who has registered with the Service.
  4. "Instructor" refers to a Member who has created an instructor profile and registers classes through the Service.
  5. "Class" refers to an online yoga class listed on the platform.
  6. "Yoga ON Class" refers to a class registered directly by an Instructor, bookable and payable through the platform.
  7. "External Class" refers to a class from an external studio whose information is listed on the Service, with booking and payment handled by the respective studio.

Article 3 (Posting and Amendment of Terms)

  1. The Company shall post these Terms on a dedicated page within the Service for Members to review.
  2. The Company may amend these Terms to the extent not violating applicable laws.
  3. When amending the Terms, the Company shall provide notice within the Service at least 7 days before the effective date. For changes unfavorable to Members, notice shall be given at least 30 days in advance.
  4. Members who do not agree to amended Terms may discontinue use of the Service and withdraw their membership.

Article 4 (Provision of Service)

The Company provides the following services:

  1. Search for online yoga classes worldwide with automatic timezone conversion
  2. Booking and payment for Yoga ON classes (via Toss Payments and Lemon Squeezy)
  3. Support for conducting online classes via Google Meet
  4. Display of external studio class information with links to the studio's website
  5. Instructor profile creation and class management tools
  6. Class reviews and bookmark (wishlist) features

Article 5 (Registration and Withdrawal)

  1. Members may register by email and password or through Google account authentication (OAuth).
  2. Persons under the age of 14 may not register for the Service.
  3. Members may withdraw directly from the Settings page. Upon withdrawal, data will be processed in accordance with the Privacy Policy.
  4. The Company may refuse registration or restrict subsequent use in the following cases:
    • Providing false information
    • Using another person's identity
    • Having previously lost membership due to a violation of these Terms

Article 6 (Member Obligations)

Members shall not engage in the following:

  1. Providing false information or using another person's information during registration
  2. Unauthorized use of another Member's account
  3. Unauthorized recording, reproduction, or distribution of class content
  4. Writing false or malicious reviews
  5. Interfering with the normal operation of the Service
  6. Violating applicable laws and regulations

Article 7 (Instructor Terms)

  1. Members may become Instructors by creating an instructor profile on the Settings page.
  2. Instructors must accurately provide their legal name, resident registration number, and bank account information for settlement purposes.
  3. Instructors are responsible for maintaining the accuracy of their class information (schedule, pricing, description, etc.).
  4. Instructors are responsible for managing the Google Meet link for their classes.
  5. Instructors must notify enrolled students in advance when canceling or rescheduling a class.
  6. Copyright in class content belongs to the respective Instructor.

Article 8 (Payment and Refunds)

  1. Payment for Yoga ON classes is processed through Toss Payments (domestic) or Lemon Squeezy (international).
  2. Class prices consist of the supply price set by the Instructor plus 10% Value Added Tax (VAT).
  3. Free classes (priced at $0) allow enrollment without payment.
  4. Refund policy:
    • Cancellation at least 1 day before the class: Full refund
    • On the day of the class or after: No refund
  5. Refunds are processed to the original payment method. Processing time may vary depending on the payment provider's policy.
  6. The right of withdrawal under Article 17 of the Consumer Protection Act in Electronic Commerce is guaranteed.

Article 9 (Settlement)

  1. Instructor settlements are processed at the end of the following month (e.g., March earnings are paid by end of April).
  2. The following amounts are deducted from the supply amount (excluding VAT):
    • Business income tax: 3.3%
    • Payment processing fee: 3%
    • Platform fee: 3.7%
    • Total: 10% of the supply amount
  3. If an Instructor has not registered settlement information (legal name, resident registration number, bank account), payment will be withheld.

Article 10 (Intellectual Property)

  1. Copyright in the Service's UI/UX, software, design, and Company-created content belongs to the Company.
  2. Copyright in class content registered by Instructors belongs to the respective Instructor.
  3. Copyright in reviews written by Members belongs to the respective Member, who grants the Company a license to use them within the Service.
  4. Members may not commercially exploit or provide to third parties any content obtained through the Service.

Article 11 (Service Restriction and Termination)

  1. The Company may restrict use of the Service or terminate an account if a Member violates these Terms.
  2. The Company may restrict use without prior notice in the following cases:
    • Fraudulent payment or payment fraud
    • Repeated submission of false reviews
    • Serious interference with Service operations
    • Infringement of another person's personal information

Article 12 (Limitation of Liability)

  1. The Company does not guarantee the accuracy of external studio class information. Please contact the respective studio for inquiries about external classes.
  2. The quality of classes is the responsibility of the respective Instructor. The Company acts only as an intermediary in disputes between Instructors and students.
  3. The Company is not responsible for inability to conduct classes due to outages in third-party services such as Google Meet.
  4. The Company is not responsible for service interruptions caused by force majeure, including natural disasters, war, or telecommunications service provider outages.
  5. The Company is not liable for damages related to the use of services provided free of charge.

Article 13 (Dispute Resolution)

  1. Disputes regarding these Terms shall be governed by the laws of the Republic of Korea.
  2. In case of a dispute between the Company and a Member regarding use of the Service, both parties shall negotiate in good faith to resolve the dispute.
  3. If negotiation fails, the Seoul Central District Court shall have jurisdiction as the court of first instance.
  4. Disputes may also be resolved through the Electronic Commerce Dispute Mediation Committee or the Consumer Dispute Mediation Committee.

Supplementary Provisions

These Terms of Service shall take effect on April 4, 2026.
